Q: What are information memoranda and non disclosure/confidentiality agreements and how are they used?

The Information Memoranda or Sales Memoranda is a key document in eliciting interest from third parties and will therefore contain a detailed review of the vendor’s business, its operations, financial performance and key business elements. Although the Corporate Finance advisors would take responsibility for the preparation of this Memoranda, it is essential for detailed input from the vendor into the document, particularly from a commercial and operational perspective.
